STO SERVICES
Security Token Offerings (STOs) are the future of fundraising. Our team and our advisors helped to create the legal and compliance framework for STOs in early 2018, and subsequently has run one of the largest STOs to date. Whether you’re ready to issue an STO now, or you’re open to it later, BAX p provides a step by step “STO-in-a-box” service to help keep you compliant and increase your chances of success.

The BAX journey
Strategy
1

Your STO will be a collaborative effort between your team and ours. We start with a needs assessment, then we create your timelines. We create your marketing, governance, tokenomics and token distribution plans, and we work with your team to delegate accordingly.

Preparation
2

Using the plans we’ve just created, we work with vetted third party vendors to prep your STO experience for the market. This includes everything from platform setups and tool integrations, to media training and collateral refinement - and everything in between.

Issuance
3

Once your offering is prepared and tested, we shift our focus to legal, regulatory and compliance items. We handle issuer entity formation, legal document prep, detailed compliance checks and internal solicitation SOP creation - and more.

Solicitation
4

Congrats - your offering is legal, compliant, and ready for the market! Now it’s time to pitch investors. We shop your offering to our network of 15k+ institutional investors, and we work with your team and various third parties to do the same.

Are you licensed?

Yes - BAX’s registered broker dealer entity is March Capital Corp.

We're often asked
HOW ARE DIFFERENT FROM OTHER SERVICES CLAIMING TO OFFER SIMILAR STO SERVICES?
Since the ICO craze began, various “agencies” made up of “industry experts” have been popping up to attempt to capitalize on the massive flood of capital flocking to this new asset class. As regulatory agencies have begun to get their footing, the days of the “shoot-from-the-hip” ICO are gone. STOs have taken its place as the serious, legal and compliant option, and only a handful of companies have ever done one successfully. Our team has. We created the process, and we can take you through it, step by step.

Comparing the two...
A SECURITY TOKEN OFFERING VS A UTILITY TOKEN “ICO”
An STO allows consumers to purchase digital coins or tokens as part of a public offering, just as they would in an ICO. However, unlike many ICOs, these tokens are backed by a tangible element, such as assets, profits, or revenue in a company. It’s like holding shares in a company, except with more versatility. More importantly, it gives institutional investors more confidence, and reduces the likelihood of added scrutiny from regulatory entities like the SEC as it says that issuers are being transparent about exactly what they are offering.
